Payment Protection Terms

A Delaware Corporation
These Payment Protection Terms (“Protection Terms”) apply only to users who subscribe to a Nmbr Plan that includes Payment Protection. They form part of the Nmbr Terms of Service and Subscription Terms.
Payment Protection is a contractual service benefit, not insurance, and is not regulated as an insurance product.
1. Definitions
“Payment Protection”
A contractual benefit where Nmbr advances or covers certain rent payments to the Landlord if the Tenant is late or fails to pay, subject to all conditions in these Terms.“Protected Tenant”
A Tenant who:- has passed Nmbr Verification;
- has an active Lease Agreement facilitated through Nmbr;
- has agreed to all required payment methods (ACH/auto-pay);
- remains compliant with Lease obligations.
“Covered Rent”
Base monthly rent specified in the Lease Agreement, excluding: utilities, deposits, parking fees, penalties, repairs, damages, or any non-rent charges.“Coverage Period”
The period during which Payment Protection applies, beginning on the lease start date and ending upon:- expiration or termination of the Lease;
- cancellation of the Subscription;
- loss of Tenant eligibility.
“Non-Payment Event”
A failure of the Protected Tenant to pay Covered Rent by the due date.2. Scope of Payment Protection
Nmbr will provide the following benefits only for Protected Tenants:
2.1 Late Payment Coverage
If rent is not received by the due date, Nmbr may advance Covered Rent to the Landlord for the month in which the non-payment occurs.
2.2 Partial Coverage
If the Tenant pays part of the rent, Nmbr may cover the remaining portion of Covered Rent for that month.
2.3 Maximum Coverage
The maximum number of covered events is stated in the Subscription Plan at the time of purchase (e.g., up to 3 missed payments).
Only one month can be covered at a time.
2.4 No Coverage for Damages
Payment Protection does not cover:
- property damage
- legal fees
- eviction costs
- cleaning or repairs
- unpaid utilities
- fees outside Covered Rent
2.5 No Coverage for Unauthorized Tenants
Tenants that skip verification or bypass Nmbr workflows are not eligible.
3. Eligibility Requirements
Payment Protection applies only if all conditions below are met:
3.1 Active Subscription
Landlord must maintain an active Subscription for the specific property for the entire Coverage Period.
3.2 Verified Tenant
Tenant must be fully verified by Nmbr prior to signing.
3.3 Lease Facilitated Through Nmbr
Payment Protection applies only to Lease Agreements generated or approved through Nmbr.
3.4 Auto-Pay Setup
Tenant must have active automatic payment credentials connected to Nmbr.
3.5 Cooperation Requirement
Landlord must:
- respond within 24 hours to Nmbr requests
- provide lease details, rent amount, and required documents
- notify Nmbr immediately of any late or missing payments
Failure to cooperate voids eligibility for Payment Protection.
4. Events Not Covered
Payment Protection does not apply in the following situations:
- Tenant disputes the charge or reverses payment
- Tenant voluntarily abandons the unit
- Illegal activity in the unit
- Lease modifications not approved through Nmbr
- Rent increases not processed through Nmbr
- Landlord accepts cash or offline payments
- Landlord fails to notify Nmbr of non-payment within 5 days
- Fraud, misrepresentation, or document tampering
- Subletting or unauthorized occupants
5. How Payment Protection Works
5.1 Report of Non-Payment
Landlord must notify Nmbr within 5 calendar days of missed rent.
5.2 Verification
Nmbr will:
- confirm no payment was received
- check Tenant status and eligibility
- verify no breach by Landlord (e.g., failing auto-pay setup)
5.3 Payment to Landlord
Once verified, Nmbr will issue Covered Rent for that month directly to the Landlord.
5.4 Nmbr Recovers from Tenant
Nmbr will attempt to collect the unpaid amount from the Tenant.
Landlord is not responsible for repayment.
6. When Payment Protection Ends
Protection automatically ends if:
- The Subscription for the property is cancelled
- The Lease expires or terminates
- Tenant loses eligibility
- Maximum covered events are exhausted
- Landlord violates the Cooperation Requirement
- Property is removed from the Nmbr platform
7. Landlord Responsibilities
To maintain eligibility:
- use Nmbr for all payment processing
- keep property details and lease info accurate
- report non-payment on time
- avoid side agreements with the Tenant
- avoid accepting direct/offline payments
- remain compliant with local housing laws
Nmbr may request documents such as:
lease, payment ledger, communication logs, or access instructions.
8. Nmbr Rights
Nmbr reserves the right to:
- suspend Protection for risk or fraud
- deny coverage where conditions are not met
- recover overpayments if information was false
- request additional documents to validate claims
- modify Payment Protection Terms
9. Limitations of Liability
To the maximum extent permitted under applicable law:
- Nmbr's total obligation is limited to the number of Covered Rent months defined in the Subscription Plan
- Nmbr is not liable for consequential or indirect losses
- Payment Protection is provided “as-is” and “as-available”
Nothing in these Terms constitutes insurance, a guarantee of Tenant behavior, or a guarantee that future rent will be paid.
10. Modifications
Nmbr may update these Terms at any time.
Continued use of Payment Protection after updates constitutes acceptance.
